7.4 Pre-requisites to Become a Distributor of a Mutual Fund

Step 1: Certification

The entry requirement is passing the NISM-Series-V-A: Mutual Fund Distributors Certification Examination — the examination this guide prepares for.

A limited exemption from re-examination has historically applied to certain senior citizens with long-standing distribution experience and to certain categories of qualified professionals, subject to prescribed conditions and to completion of the applicable Continuing Professional Education programme. The general position for a new entrant is simple: pass the examination.

Certification is valid for three years.

Step 2: Apply to AMFI for an ARN

After certification the applicant applies to AMFI for an AMFI Registration Number (ARN). The application requires:

  • The NISM certification, valid on the date of application
  • PAN
  • Know Your Distributor (KYD) compliance
  • Bank account details for commission credit
  • Address and identity proofs
  • Payment of the applicable registration fee

The ARN is issued to an individual in their own name or to a non-individual entity in the entity's name, and it is the identifier quoted on every application form and against which commission is paid.

Step 3: Know Your Distributor

KYD is AMFI's verification process for distributors, introduced to establish that ARN holders are genuine and traceable. It involves submission of identity and address proof, PAN verification, and biometric capture for individual distributors and for the authorised signatories of non-individual distributors.

KYD compliance is a precondition for empanelment. An AMC will not empanel a distributor who has not completed it.

Step 4: Obtain an EUIN Where Applicable

The Employee Unique Identification Number (EUIN) is issued by AMFI to individual employees, agents, relationship managers and sales persons of a distributor who interact with investors and give advice.

  • The EUIN is quoted on the transaction alongside the distributor's ARN.
  • Its purpose is traceability of advice to a person, so that if an individual leaves the firm, advice given while employed can still be attributed.
  • Where an investor transacts without any advice from an individual, the form provides a declaration that the transaction is execution only, and the EUIN field is left blank with that declaration signed. This protects both parties: the investor records that no advice was given, and no individual is later held to advice they did not give.

An individual distributor operating alone holds an ARN and is also issued an EUIN for themselves.

Step 5: Empanel with AMCs

An ARN permits a person to act as a mutual fund distributor. It does not automatically permit transacting with any particular fund house. Each AMC empanels distributors separately, on its own terms and after its own checks, which for larger distributors include the formal due diligence covered in section 5.3.

Empanelment establishes the commission arrangement, the transaction routes available, and the servicing relationship. A distributor may be empanelled with some AMCs and not others.

The chain matters: certification lapses, so the ARN cannot be renewed, so commission stops. Distributors who let certification expire discover that trail on an existing book, built over years, ceases. Renewal should be initiated well before expiry rather than at it.

What an ARN Does Not Permit

  • It does not permit investment advisory services for a fee, which requires registration as a SEBI Registered Investment Adviser.
  • It does not permit distributing insurance or NPS, each of which needs its own registration.
  • It does not permit managing money on an investor's behalf or exercising discretion over their portfolio.

A distributor who accepts a fee from an investor for advice, rather than commission from the AMC for distribution, has crossed into activity requiring a different registration — the boundary examined in section 7.7.

Each step is a gate rather than a formality. KYD must be complete before empanelment. The ARN must be valid on the date of every transaction for commission to be payable. Empanelment with one AMC says nothing about another.

The first two account for most practical difficulty. Both are administrative, both are entirely avoidable, and both stop income rather than merely inconveniencing the distributor.
