Welcome to OpenExamPrep. These Terms of Service ("Terms") govern your access to and use of the OpenExamPrep website at https://open-exam-prep.com ("Service"), operated by Bayview Global LLC ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Description of Service

OpenExamPrep provides free educational content, practice questions, study guides, and an AI-powered Study Assistant for various professional licensing and certification examinations, including but not limited to:

• Securities & FINRA: SIE, Series 6, Series 7, Series 63, Series 65, Series 66
• Real Estate: 50+ state-specific real estate licensing exams
• Insurance: Life & health, property & casualty, and state-specific insurance licensing exams
• Notary: 17+ state-specific notary public exams
• Healthcare: NCLEX-RN, NCLEX-PN, PTCE, CNA, and related certifications
• Finance & Accounting: CFP, CPA, EA, and related exams
• Education: Praxis, ParaPro, and related certifications
• Project Management: PMP, CAPM
• Military: ASVAB
• Fitness: CSCS, and related certifications
• Food Safety: ServSafe and related certifications

We continually expand our exam coverage. The above list is not exhaustive and may change without notice.

2. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Educational Content Disclaimer

The content provided on OpenExamPrep is for educational and informational purposes only.

• Our study materials and practice questions are designed to help you prepare for exams but do not guarantee that you will pass any examination.
• We are not affiliated with, endorsed by, or officially connected to FINRA, SEC, NASAA, NCSBN, PTCB, PMI, CompTIA, any state insurance department, any state real estate commission, any state notary office, or any other regulatory body or exam administrator.
• Exam content, requirements, and passing scores may change. Always verify current requirements with the official exam administrator.
• Our practice questions are original content created for educational purposes and are not actual exam questions.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Bayview Global LLC. The Service is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent, except for your personal, non-commercial educational use.

5. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or any server, computer, or database connected to the Service
• To scrape, harvest, or collect content from the Service using automated means without our express written permission

6. Free and Paid Services

OpenExamPrep provides study materials (guides, practice questions, and explanations) free of charge. Our AI Study Assistant includes 10 free interactions per day; additional AI usage may require payment. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

7. AI Study Assistant Terms

Our AI Study Assistant is powered by Google's Gemini model and is subject to the following terms:

• No guarantee of accuracy: AI-generated responses may contain errors, outdated information, or inaccuracies ("hallucinations"). You should independently verify any information provided by the AI Study Assistant before relying on it.
• Not a substitute for professional advice: The AI Study Assistant provides educational guidance only. It is not a substitute for professional financial, legal, medical, or other expert advice.
• Data processing: When you use the AI Study Assistant, your messages and contextual information are sent to Google Gemini for processing. Your conversations are stored in our database. Please review our Privacy Policy for details on how your data is handled.
• Usage limits: You receive 10 free AI interactions per day. Additional usage requires the purchase of AI credits.
• Prohibited uses: You may not use the AI Study Assistant to:
  • Attempt to extract or reproduce actual exam questions
  • Generate harmful, abusive, or illegal content
  • Circumvent usage limits through automated means or multiple accounts
  • Use the output for any commercial purpose without our permission
• Service availability: The AI Study Assistant relies on third-party infrastructure and may experience downtime, delays, or degraded performance. We do not guarantee uninterrupted availability of the AI features.

8. Payment Terms & Refund Policy

AI credits may be purchased through our website using Stripe as the payment processor. The following terms apply to all credit purchases:

• Credits: AI credits are non-transferable and have no cash value. Credits do not expire while your account remains active and in good standing.
• Refunds: Credits that have been used are non-refundable. For unused credits, refund requests made within 30 days of purchase may be granted at our discretion. To request a refund, contact us at contact@open-exam-prep.com.
• Pricing changes: We reserve the right to change credit pricing at any time. Price changes will not affect credits that have already been purchased.
• Termination: If your account is terminated for violation of these Terms, any remaining credits will be forfeited and no refund will be issued.

9. Affiliate Links & Third-Party Products

Our website may contain affiliate links to third-party products and services. When you click on these links and make a purchase, we may earn a commission at no additional cost to you.

• Editorial independence: Affiliate relationships do not influence our editorial content, recommendations, or reviews. Our primary goal is to provide helpful, accurate information to our users.
• Third-party terms: Products and services purchased through affiliate links are subject to the terms and conditions of the respective third-party provider. We are not responsible for third-party products, services, or their terms.

10. Data Upon Termination

When your account is terminated or deleted, the following data handling applies:

• Account data: Your account information and profile will be permanently deleted.
• Study progress: All quiz scores, study activity, and progress data will be permanently deleted.
• AI chat history: AI conversation history will be deleted upon request. To request deletion, contact us at contact@open-exam-prep.com.
• Payment records: Transaction records will be retained for up to 7 years as required for accounting and legal compliance purposes.
• Data export: You may request an export of your data within 30 days of account termination by contacting us. After 30 days, your data may no longer be available for export.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

12. Limitation of Liability

IN NO EVENT SHALL BAYVIEW GLOBAL LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Your performance on any examination after using our Service
• Any reliance on information or responses provided by the AI Study Assistant, including inaccurate, incomplete, or outdated information
• Forfeiture of purchased AI credits due to account termination for violation of these Terms

13. Indemnification

You agree to defend, indemnify, and hold harmless Bayview Global LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Service; or (b) a breach of these Terms.

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
