1Which company document ordinarily regulates directors' proceedings and voting at members' meetings?
A.The certificate of incorporation
B.The articles of association
C.The register of charges
D.The annual return
Explanation: The articles contain the company's internal regulations, subject to the Companies Act. A registration certificate proves incorporation but does not set out the rules for conducting meetings.
2A client wants a limited liability single shareholder company in Mainland Tanzania. Which advice reflects the Companies Act's express recognition of that form?
A.A second beneficial owner must always be invented
B.The form is available only to foreign branches
C.The business must instead remain an unincorporated sole proprietorship
D.The Act recognizes a company formed by one member, with the required sole-member particulars recorded
Explanation: The revised Companies Act expressly recognizes limited liability single shareholder companies. The sole member's details and the company's single-member status must be recorded; a categorical claim that every incorporation requires two members is incorrect.
3Which provision is characteristic of a private company's articles under the Companies Act?
A.A restriction on transfers of its shares
B.A requirement to offer all new shares to the general public
C.A prohibition on borrowing from banks
D.A requirement that every shareholder manage the business
Explanation: Restrictions on share transfers are part of the statutory definition of a private company. The definition also addresses membership and invitations to the public; private status does not prohibit ordinary borrowing.
4A company already incorporated abroad registers its established place of business in Mainland Tanzania. Which certificate distinguishes this compliance process from domestic incorporation?
A.A domestic certificate of incorporation
B.A certificate of change of company name
C.A certificate of compliance
D.A certificate of registration of a charge
Explanation: The foreign-company provisions provide for certification of compliance with the required filings. This registers the foreign company's presence rather than creating a new domestic company.
5Two people agree to run a catering business together for profit without incorporating. Which relationship is indicated by those facts?
A.A company limited by guarantee
B.A partnership
C.A trust for customers
D.A foreign-company branch
Explanation: Carrying on a business jointly with a view to profit indicates a partnership under the Law of Contract Act. Incorporation is a separate process and is not produced merely by agreeing to trade together.
6Partners contribute unequal amounts of capital but agree nothing about profit sharing. Which starting rule should their adviser check under the Law of Contract Act?
A.Profit shares necessarily follow capital contributions
B.The managing partner receives the largest share by law
C.The partner working the most hours takes all profits
D.The default is equal profit sharing, subject to the partners' agreement
Explanation: The statutory partnership rules provide an equal-sharing default that the partners may vary by agreement. Unequal capital contributions alone do not establish a different agreed profit ratio.
7What is the central legal consequence of incorporating a company?
A.The company becomes a legal person distinct from its members
B.Each member becomes owner of each company asset
C.Every director guarantees every company debt
D.All required business licences are automatically issued
Explanation: Incorporation creates a body corporate with its own rights and obligations. Separate personality does not dispense with licensing requirements or make members the individual owners of company property.
8A promoter signs a warehouse lease expressly for a company that does not yet exist. The lease contains no contrary agreement about the promoter's liability. What is the correct starting position?
A.Incorporation later releases the promoter automatically
B.No person can be bound because the proposed company does not exist
C.The promoter is personally liable on the pre-incorporation contract
D.The proposed company's future shareholders are already jointly liable
Explanation: The Companies Act places personal contractual liability on the person purporting to act for an unformed company, subject to contrary agreement. Later incorporation alone does not establish a statutory ratification releasing that person.
9For an ordinary independent company, whose interests are the starting point for a director's duty to act honestly and in good faith?
A.Only the shareholder who nominated the director
B.The company
C.Only the director's own business
D.Only the largest customer
Explanation: The general statutory duty concerns the interests of the company. The Act contains particular qualifications for some subsidiary and joint-venture arrangements, so advice should not substitute a blanket duty to a nominating shareholder.
10A director with financial expertise approves a major loan without reading the financial information. Which approach best describes the statutory duty-of-care assessment?
A.Good intentions necessarily exclude negligence
B.Only the director's own preferred standard matters
C.Every director must guarantee the loan's success
D.Consider both the reasonably expected skills for the role and the director's actual knowledge and experience
Explanation: The Companies Act uses a standard that includes the functions performed and the director's actual knowledge, skill and experience. Honest conduct does not remove the separate duty to exercise appropriate care.
