1A supplier makes an offer under Tunisian law and expressly allows acceptance until Friday. What is the effect of that deadline?
A.Negotiations cannot begin before Friday
B.The supplier is bound to maintain the offer until the deadline
C.Delivery must occur before acceptance
D.The supplier can revoke freely until acceptance arrives
Explanation: The COC binds an offeror who specifies an acceptance period until that period expires. The deadline protects the opportunity to accept; it does not itself conclude the contract.
2Which combination permits rescission for an erreur de droit under the Tunisian COC?
A.Any mistaken legal belief, even if irrelevant to consent
B.A reduction in the expected profit
C.A shared mistake, regardless of its importance
D.An excusable error that is the sole or principal cause of the obligation
Explanation: The COC recognizes an excusable error of law when it is the sole or principal cause of the obligation. Merely identifying an incorrect legal belief does not establish both requirements.
3Two debtors expressly owe a single 9,000 TND debt solidairement. One pays 4,000 TND, with no interest or costs outstanding. How much may the creditor still demand from the other?
A.5,000 TND
B.4,500 TND
C.9,000 TND
D.500 TND
Explanation: Solidarity permits pursuit of either debtor for the unpaid whole, but only one satisfaction of the debt. The remaining claim is 9,000 − 4,000 = 5,000 TND; contribution between debtors is a separate issue.
4A claimant proves a contractor negligently left a gate open. The claimed loss arose solely from an unrelated flood; the gate contributed nothing. Which defect defeats this negligence claim under the COC?
A.Negligence cannot ground civil liability
B.Property loss is excluded from compensation
C.The required direct causal connection is missing
D.A criminal conviction must precede every civil claim
Explanation: Liability for fault requires damage directly caused by that fault. Proving negligence and loss is insufficient when the established facts disconnect them.
5A debtor invokes force majeure after an event makes performance impossible. Which additional fact most undermines that defense under the COC?
A.Several businesses were affected
B.The impossibility resulted from the debtor's earlier fault
C.The creditor still wants performance
D.The contract was originally profitable
Explanation: The COC excludes a cause brought about by the debtor's previous fault from force majeure. Genuine impossibility must also be distinguished from inconvenience or increased expense.
6Which defect falls within the seller's warranty under the Tunisian COC, assuming the other warranty requirements are met?
A.A later change in the buyer's preferred color
B.An insignificant imperfection tolerated by usage
C.A lower than expected resale margin
D.A defect making the thing unfit for its intended use
Explanation: The warranty concerns defects materially reducing value or making the thing unfit for its intended use. The COC distinguishes these from slight or customary imperfections.
7Which activity best supports an individual's status as a commerçant under Tunisian commercial law?
A.Habitually carrying out commercial transactions as a profession
B.Selling a personal used desk once
C.Working solely as a salaried sales assistant
D.Passively owning shares without personally conducting commerce
Explanation: Merchant status concerns habitual professional commercial activity. An isolated personal sale or employment in another's business does not by itself establish that status.
8A trader rents the shop building but owns the business operated there. Which elements are indispensable to the fonds de commerce?
A.Ownership of the building and land
B.All debts owed by the trader
C.Clientèle and achalandage
D.Every item of stock held on the transfer date
Explanation: The business concern necessarily includes its clientele and goodwill. Ownership of the premises is distinct, so renting a building does not prevent ownership of a fonds de commerce.
9What is the ordinary loss exposure of an associé in a Tunisian SARL, assuming no personal guarantee or separate misconduct?
A.Unlimited liability for every company debt
B.Loss limited to the contribution
C.Liability determined solely by turnover
D.Automatic liability for the manager's personal debts
Explanation: The SARL limits partners' ordinary loss exposure to their contributions. Guarantees and distinct liability for misconduct require separate analysis.
10A Tunisian SA has 120 voting shares. At the first call of its ordinary general meeting, holders of 39 shares attend or are represented. Under the statutory one-third quorum, what follows?
A.The quorum is met because more than one-quarter attended
B.Unanimity among the 39 cures the quorum shortfall
C.The meeting needs 80 shares under the extraordinary-meeting voting rule
D.The quorum is not met; at least 40 voting shares are required
Explanation: The first-call ordinary-meeting quorum is at least one-third of voting shares. One-third of 120 is 40; unanimity among 39 cannot cure missing quorum.

5Study the full published program, including subjects not sampled in this foundation set.

Frequently Asked Questions

Is entrance the same assessment as CAPA?

No. Entrance selects trainees. CAPA is awarded through successful completion of the later assessed ISPA program, including practical requirements.

Is the concours current?

ISPA publishes 2025–2026 competition and training material and 2026–2027 enrollment announcements. This does not establish the date or places of a new 2026 entrance sitting; use the relevant opening notice.

Does this bank cover every stage?

It covers selected screening foundations in the published proportions. It does not comprehensively cover human rights, private international law, land law, professional rules, or the written and oral performance required by the entry routes.
