1Under Law No. 7 of 2010, what is the legal status of the Capital Markets Authority (CMA) of Kuwait?
A.A private commercial corporation established and wholly financed by registered securities brokerages
B.A specialised regulatory division operating under the direct day-to-day command of the Central Bank of Kuwait
C.An independent authority with its own legal personality, established under the oversight of the Minister of Commerce and Industry
D.An administrative department inside the organisational hierarchy of Boursa Kuwait
Explanation: Article 2 of Law No. 7 of 2010 states that an independent Authority possessing legal personality shall be established under the oversight of the Minister of Commerce and Industry, to be called the Capital Markets Authority. Independent legal personality is what allows the CMA to license, supervise, sue and be sued in its own name while remaining subject to ministerial oversight.
2Which of the following is NOT one of the seven statutory objectives of the Kuwait CMA listed in Article 3 of Law No. 7 of 2010?
A.Guaranteeing a positive annual investment return to retail participants in the equity market
B.Reducing systemic risks arising from securities activities
C.Enhancing public awareness of securities activities and of the benefits, risks and obligations of investing in securities
D.Imposing requirements of full disclosure to achieve fairness and transparency and to prevent conflicts of interest and the use of insider information
Explanation: Article 3 lists seven objectives: regulating securities activities fairly, transparently and efficiently; growing and diversifying the capital markets; enhancing investor protection; reducing systemic risk; imposing full disclosure; ensuring compliance with securities rules; and enhancing public awareness. Protecting investors from fraud and opacity is an objective; guaranteeing them a profit is not, because market risk remains with the investor.
3What are the CMA's powers when it carries out a periodic inspection of a person subject to its supervision?
A.It must obtain a criminal court warrant before every inspection, whether periodic or not
B.It may inspect only after the entity has published its audited annual financial statements
C.It may inspect only entities that have already been referred to the Disciplinary Board
D.It gives prior notice of a periodic inspection, but may inspect without prior notice to achieve its statutory objectives or to investigate complaints and reports
Explanation: The Authority inspects periodically to confirm compliance with the law, bylaws and applicable policies and procedures, and gives prior notice of a periodic inspection. It may, however, inspect without prior notice where this is needed to achieve its objectives under the law or bylaws, or to investigate complaints and reports submitted to it. After the inspection it discusses initial observations with the inspected person, who then has ten business days from receipt to comment on the initial report.
4Which power is granted to a Judicial Officer (مأمور الضبط القضائي) of the Kuwait CMA?
A.Detaining suspects indefinitely in a regulatory detention facility operated by the Authority
B.Visiting premises, carrying out inspections to determine whether a crime has been committed, and holding documents and papers regarded as evidence
C.Amending a listed company's articles of association on site during an inspection
D.Imposing a criminal prison sentence directly, without referral to the Capital Markets Prosecution
Explanation: Judicial Officers are appointed on the recommendation of the Board of Commissioners and by decision of the competent minister. They may receive and verify written and verbal notices and complaints, visit premises and carry out inspections to collect evidence of a crime, exercise the powers of the judicial police where a crime is observed during a periodic inspection, request information and review records, call witnesses and experts, and hold documents and papers they consider to be evidence.
5What protection does the CMA framework give to a whistleblower who reports a suspected crime or violation in good faith?
A.The whistleblower's identity must be published so that the market can assess the credibility of the report
B.The whistleblower forfeits their employment protections for the duration of the investigation
C.Their identity may be concealed using special codes, workplace retaliation is prohibited, and they may not face criminal, civil or disciplinary charges provided they acted in good faith
D.Protection applies only where the whistleblower is a registered person at a licensed person
Explanation: The Authority may protect a whistleblower by concealing their identity and referring to them only by special codes, with the true identity held in confidential records that can be revealed only by a decision of the Authority or a competent court. Action that alters a whistleblower's legal or administrative position, reduces their rights, or causes deprivation, defamation or other harm is prohibited and exposes the person taking it to disciplinary investigation. A whistleblower acting in good faith may not be charged criminally, civilly or disciplinarily regardless of the outcome of the report.
6In which of the following cases may the CMA cancel the licence of a securities exchange?
A.Where operations of the exchange have been suspended for more than five working days
B.Where the market index falls by more than two per cent in a single trading session
C.Where a listed company fails to hold its annual general assembly
D.Where the exchange refuses to admit a new broker to membership
Explanation: The Authority may cancel an exchange licence in writing where the company can no longer meet any condition required for the licence; where operations have been suspended for more than five working days; on closure of the exchange; where the exchange does not abide by the Authority's instructions despite being notified; or where it fails to provide requested information or provides misleading or inaccurate information. The decision and its reasons are published in the official gazette.
7Which activities may the CMA license a clearing agency such as Kuwait Clearing Company to undertake?
A.Underwriting initial public offerings and guaranteeing dividend payments by listed companies
B.Setting retail lending interest rates for commercial banks operating in Kuwait
C.Acting as legal counsel for brokers who are the subject of market-abuse investigations
D.Services related to the settlement or clearing of securities, and safekeeping of securities in a central securities depository for keeping and transferring ownership and recording related transactions
Explanation: The Authority may license a clearing agency to provide one or more services relating to the settlement or clearing of securities in relation to payment and/or delivery; to safekeep securities within a central securities depository for keeping and transferring ownership or the registry of related transactions, including sale, purchase, transfer of ownership, pledge and distribution of profits; and to provide any other services the Authority specifies.
8What is the standard settlement cycle for equity transactions on Boursa Kuwait?
A.T+0, with immediate physical delivery of share certificates
B.T+3, on a delivery-versus-payment basis
C.T+7, on an uncollateralised credit basis
D.T+30, settled at the end of each calendar month
Explanation: Boursa Kuwait operates a T+3 settlement cycle for equities on a delivery-versus-payment basis, with Kuwait Clearing Company acting as the central securities depository and settlement agent. Delivery versus payment means the transfer of securities and the transfer of cash are conditioned on one another, which removes principal risk from the settlement process.
9Which of the following matters must a clearing agency inform the Authority about as soon as possible?
A.The appointment of a new marketing manager at the clearing agency
B.Any change in the opening hours of the clearing agency's reception desk
C.That one of its counterparties has become unable to abide by the rules applicable to clearing, settlement and depository operations, or that its own financial position or ability to meet counterparty obligations is unstable or showing signs of instability
D.Any complaint received from a retail investor about brokerage commission rates
Explanation: As part of its obligations and licence conditions, a clearing agency must inform the Authority as soon as possible when any of its counterparties becomes unable to abide by the rules applicable to clearing, settlement and depository operations, and when its own financial position, or its ability to meet the obligations of any counterparty, becomes unstable or shows signs of instability. These are the events that threaten settlement finality and therefore the stability of the market.
10In a disaster, crisis or disturbance with severe market impact, or where several traders give misleading indications, which action may the CMA take?
A.Suspend trading at the exchange or in any listed security for a limited period, cancel trades, amend trading days and hours, or amend or suspend any of the exchange's rules
B.Nationalise the affected listed companies and transfer their shares to the state
C.Issue an irrevocable guarantee to compensate all investors for trading losses incurred that day
D.Take no action until the exchange's board of directors has obtained the unanimous consent of listed company chairpersons
Explanation: Where disasters, crises or disturbances have a severe effect on the market, or several traders give misleading indications, the Authority has wide powers to restore fairness, transparency and efficiency. It may suspend trading at an exchange or in any listed security for a limited period; cancel trading for a specific period or cancel transactions in certain shares; issue decisions to dissolve all or part of an account balance or reduce it; amend trading days and hours; and amend or suspend any of the exchange's rules.

Kuwait CMA Rules & Regulations: Suggested Study Strategy

1Work from Law No. 7 of 2010 and the CMA Executive Bylaws themselves. The Bylaws issued under Resolution No. 72 of 2015 run to 17 modules, and knowing which topic sits in which module makes the syllabus far easier to navigate.
2Give Collective Investment Schemes the most time. At 10 of 75 questions it is the largest element, and it carries the most detail on service providers, valuation, redemption and investment controls.
3Learn the numeric thresholds precisely: more than 30% of traded securities triggers a mandatory acquisition offer within thirty days; 5% makes a person an interested person, disclosed within five business days; later changes above 0.5% are disclosed within ten business days.
4Know the reporting calendars separately for issuers and for funds. Listed companies file reviewed periodical statements within 45 days and audited annual statements within 90 days; fund managers file reviewed quarterly statements within 15 business days and audited annual statements within 45 days.
5Be able to distinguish the fund service providers. The investment controller, not the fund manager, appraises the units and calculates net asset value independently, and the custodian remains responsible even where it appoints a sub-custodian.
6Insiders may not deal in their company's securities from ten business days before the end of each quarter and of the financial year until the results for that period are announced.
7Keep the client categories straight: retail and professional, with professional clients split into professional clients by nature and qualified professional clients, each with its own criteria.
